Discretionary: Zudio in tier-2/3 — what has to happen, what we believe, what breaks it

Catalysts
  • Q2FY27 business update (early Oct-2026) and results (early Nov-2026): festive-season LFL and Zudio store adds are the key watch items.
  • Zudio international/Westside expansion and potential Star Bazaar restructuring with Tesco - management has flagged 'range of interventions' on sourcing that could lift FY27 margins.
  • Inclusion/weight changes in Nifty 50 (Trent is a constituent) and MSCI rebalances drive passive flows; stock is -23% YoY so any LFL recovery to mid-single-digit would trigger re-rating.
Thesis pillars
  • Fastest-growing scaled retailer in India: 5-yr sales CAGR 51% and profit CAGR 69% (screener); FY26 revenue Rs 20,074 cr (+17%) and Q1FY27 +18% even in a soft discretionary environment.
  • Zudio runway: 982 stores in 330 cities as of Jun-26 (+269 stores YoY across formats); >80% of new Zudio outlets are in tier-2/3 markets, where the GST cut on apparel (5% slab threshold raised from Rs 1,000 to Rs 2,500 from 22-Sep-2025) directly covers Zudio's price points.
  • Margin expansion despite inflation: OPM rose from 17% (Q1FY26) to 19% (Q1FY27) on own-brand sourcing, private-label mix and calibrated pricing; ROE has held at 28-29% for three years.
  • Valuation reset creates entry: PE has compressed from >100x to ~81x trailing / ~65x FY27E (derived) with consensus target Rs 3,454 and 13 of 14 brokerages at Buy/Add/Neutral.
  • Clean balance sheet for a growth retailer: borrowings Rs 2,561 cr (largely Ind AS 116 leases) vs net worth Rs 6,985 cr; Tata parentage (37% promoter) and 23% DII holding.
Position
  • Core · Large cap
    3.1% of PMS · rank 7
Risks
  • LFL deceleration: fashion like-for-like growth is low-single-digit and Q1FY27 sales-per-sq-ft continued to decline ~10% YoY as new stores cannibalise clusters; growth is almost entirely store-count driven (Business Standard, 7-Aug-2026).
  • Store-add pace slowed to 20 net in Q1FY27 (vs 85+ per quarter at peak); any sustained slowdown breaks the 20%+ revenue growth that justifies ~65-80x PE - Citi's Sell (TP Rs 2,950) rests on this.
  • Input-cost inflation and West Asia shipping disruption flagged by management; Star Bazaar (86 stores) remains a sub-scale grocery format competing with DMart and quick commerce.

Thesis and position rationale

Investment case
Discretionary: Zudio in tier-2/3
Why this business

Tata Group fashion retailer running Westside (mid-premium own-brand department stores, 301 stores), Zudio (value fashion, 982 stores, ~Rs 300-1,000 price points) and Star Bazaar grocery (86 stores, via JV with Tesco), plus a 49% stake in Zara India (Inditex Trent). Operates 1,312 stores across 330 cities and >18 mn sq ft as of 30-Jun-2026, up from 1,043 stores / 242 cities a year earlier. Zudio has grown its store network at a ~42% CAGR over four years and is India's largest value-fashion chain by store count; India's organised apparel market share for Trent is not disclosed in sources used.

What we believe
  1. 01Fastest-growing scaled retailer in India: 5-yr sales CAGR 51% and profit CAGR 69% (screener); FY26 revenue Rs 20,074 cr (+17%) and Q1FY27 +18% even in a soft discretionary environment.
  2. 02Zudio runway: 982 stores in 330 cities as of Jun-26 (+269 stores YoY across formats); >80% of new Zudio outlets are in tier-2/3 markets, where the GST cut on apparel (5% slab threshold raised from Rs 1,000 to Rs 2,500 from 22-Sep-2025) directly covers Zudio's price points.
  3. 03Margin expansion despite inflation: OPM rose from 17% (Q1FY26) to 19% (Q1FY27) on own-brand sourcing, private-label mix and calibrated pricing; ROE has held at 28-29% for three years.
  4. 04Valuation reset creates entry: PE has compressed from >100x to ~81x trailing / ~65x FY27E (derived) with consensus target Rs 3,454 and 13 of 14 brokerages at Buy/Add/Neutral.
  5. 05Clean balance sheet for a growth retailer: borrowings Rs 2,561 cr (largely Ind AS 116 leases) vs net worth Rs 6,985 cr; Tata parentage (37% promoter) and 23% DII holding.
Why now

Stock is -23% over one year (screener) and trades at ~65x FY27E on derived numbers vs the 100x+ forward multiples of 2024 when Zudio growth was 50%+; still the most expensive listed Indian retailer at 21.7x book. EV/EBITDA 37.7x; dividend yield 0.1%.

Market disagreement
  • V-Mart Retail: V-Mart (mcap Rs 6,518 cr, 47x PE, ROE 14%, 600 stores) grew Q1FY27 sales 23% but carries Rs 958 cr borrowings on a Rs ~1,200 cr net worth and has a history of loss-making years (LimeRoad); Trent's ROE is double and its scale (Rs 20,000 cr revenue vs Rs 3,789 cr) gives sourcing advantages.
  • Shoppers Stop: Shoppers Stop is loss-making (FY26 PAT -Rs 36 cr, Q1FY27 - Rs 14 cr), ROE -6%, borrowings Rs 3,317 cr on mcap of Rs 4,272 cr; department-store model is being disrupted by exactly the own-brand value formats Trent runs.
  • ABFRL: ABFRL lost Rs 830 cr in FY26 and Rs 249 cr in Q1FY27 with Rs 6,189 cr borrowings and promoter holding down to 46.6% from 55.5% (repeated equity raises); Trent is self-funding growth at 28% ROE.

Evidence

Sector datapoints

  • India retail market ~US$1,094 bn in 2025, projected US$2,361 bn by 2030 with organised retail >35% of the market by 2030 (IBEF, Aug-2026).
  • Fashion & apparel brands drove a 20% rise in organised retail leasing to 3.9 mn sq ft in H1-2026 (CBRE via Organiser, 31-Jul-2026) - value-fashion chains are the biggest space takers.
  • GST 2.0 (22-Sep-2025): apparel/footwear up to Rs 2,500 now at 5% (threshold raised from Rs 1,000; footwear from 12%) - covers virtually all of Zudio's assortment (Business Standard, 5-Sep-2025).
  • NIQ Oct-Dec 2025: FMCG value growth slowed to 7.8% with urban volume +2.3% - discretionary/apparel demand remained soft, which is why Trent's fashion LFL was low-single-digit in Q1FY27 even as store growth drove 18% revenue growth.
